Update 2023-04-10 agenda: add Compile Farm application.
Concerning the matter "Compile Farm as an Associated Project", I
may have a potential Conflict of Interest. In applying to become
an Associated Project, I (Zach van Rijn) will become the Liaison
and may need to abstain from a Vote to accept the Project. Also,
I am the Director who is sponsoring Compile Farm's Application.
In accordance with the "SPI Conflict of Interest Policy" section
"Conflict Resolution Procedures for directors", specifically the
"Disclosure of Conflict When Present" item, the below facts are,
to the best of my knowledge, accurate and comprehensive.
* As a Director, I am sponsoring Compile Farm's application to
become an Associated Project because I believe Compile Farm to
fully align with SPI's charitable mission, out of a desire to
promote the best interests of SPI and the public good. A draft
resolution ('2023-03-31.zv.1') is presented for consideration.
* Compile Farm is not currently a legal entity and has no assets
or liabilities, is not party to any contract, and is comprised
solely of volunteers who manage sponsored computing resources.
(For the avoidance of doubt, "sponsored" means owned/hosted by
third parties, at their expense, in a best-effort manner).
* I donate my time in a personal capacity to help maintain these
computing resources (e.g. user account and machine management,
connecting potential donors with hardware/hosting vendors).
* I meet with other volunteers in a personal capacity to assess
the current state of the Project and how to better serve users
(e.g. evaluating whether to apply for Association with SPI and
similar organizations to benefit from available Services).
* I will become the Project Liaison if Compile Farm is accepted.
* I do not know whether this is a legitimate Conflict, however
to avoid the appearance of a Conflict, I will abstain from any
Vote(s) involving "Compile Farm as an Associated Project".
I will now answer any questions that the Board may have.
